TERMS OF
SERVICE

By accessing or using services provided by Geron Labs ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

These terms apply to all clients, visitors, and users who access our services via geronlabs.xyz, geronlabs.ru, or any associated platforms.

Geron Labs provides custom B2B software engineering services including:

• >AI agent development and deployment
• >LLM integration and RAG knowledge systems
• >Business process automation (n8n, Make, custom pipelines)
• >Telegram bots and custom API integrations
• >AI video production and avatar generation

All services are delivered as described in individual project agreements or proposals. Scope, timeline, and deliverables are defined per engagement.

Payments are processed securely via Paddle, our authorized payment provider. By placing an order, you agree to Paddle's terms and conditions in addition to these terms.

• >All prices are listed in USD unless otherwise stated
• >Payment is due upon order confirmation or as specified in the project agreement
• >Paddle acts as the Merchant of Record for all transactions
• >Invoices and receipts are issued by Paddle on our behalf

Upon full payment, the client receives ownership of the delivered custom code, automations, and configurations specific to their project.

Geron Labs retains the right to reuse general frameworks, methodologies, and non-client-specific technical components in future projects. We do not transfer ownership of underlying infrastructure tools, third-party licenses, or proprietary Geron Labs internal systems.

We treat all client data, business logic, API keys, and project details as strictly confidential. We do not share client information with third parties without explicit written consent, except as required by law.

Clients are responsible for safeguarding access credentials and API keys provided during the project.

Geron Labs provides services on an "as-is" and "best-effort" basis. We are not liable for indirect, incidental, or consequential damages arising from the use or inability to use our services.

Our total liability for any claim is limited to the amount paid by the client for the specific service giving rise to the claim.

We are not responsible for downtime or failures caused by third-party services (OpenAI, Telegram, Google, etc.) that our solutions depend on.

Either party may terminate a project engagement with written notice. Work completed up to the point of termination is billable. See our Refund Policy for details on cancellations.

These terms are governed by applicable international commercial law. Disputes shall be resolved through good-faith negotiation. If unresolved, disputes may be referred to binding arbitration.

We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the revised terms. Material changes will be communicated via email or our website.
